Terms of Service

Read before you use. LedgerSort is a productivity tool — not financial or tax advice. You remain responsible for all categorization decisions.

01 Acceptance of Terms

By accessing or using LedgerSort (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

LedgerSort is operated by Faiz Ahmed, an individual.

02 Description of Service & Third-Party Integration

LedgerSort is a software tool designed to assist accountants and business owners by using pre-defined rules and automated logic to identify and recategorize "uncategorized" expenses within QuickBooks Online ("QBO").

You acknowledge and agree that:

  • The Service is not endorsed, certified, sponsored, or affiliated with Intuit Inc. or QuickBooks Online.
  • QuickBooks® and QuickBooks Online® are registered trademarks of Intuit Inc.
  • The Service relies on the QuickBooks Online API, which is owned and operated by Intuit Inc.
  • We do not control the availability, performance, or functionality of QuickBooks Online or its API.
  • We are not responsible for any downtime, data loss, inaccuracies, or errors caused by QuickBooks Online or its API.

03 User Accounts & Responsibilities

  • Credentials — You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Authority — You represent and warrant that you have the necessary authority to connect any QuickBooks Online account to the Service. If you are an accountant or bookkeeper acting on behalf of a client, you represent that you have obtained the client's explicit authorization.
  • User Data — You are responsible for reviewing, validating, and backing up your financial data.
  • Security — You agree to notify us immediately if you become aware of any unauthorized use of your account or security breach.

04 No Financial, Accounting, or Tax Advice

  • Automated Logic — The Service categorizes transactions based on rules, keywords, and patterns. It does not interpret intent or context.
  • Your Responsibility — You are solely responsible for reviewing all categorizations, modifications, and outputs before relying on them for financial reporting, tax filings, or decision-making.
  • Verification — We do not verify the accuracy or completeness of the data provided to or processed by the Service.
  • Liability Disclaimer — We are not liable for tax penalties, audits, financial losses, or professional liability claims arising from your use of the Service.
  • QuickBooks Data Responsibility — Any changes made to QuickBooks Online data using the Service are performed under your direction and remain your responsibility, even when automated features are used.

05 Payments and Refunds

Payment Processing
Payments are processed by our authorized third-party payment processors. By making a purchase, you agree to the terms and privacy policies of these processors. We do not store your credit card information on our servers.
Subscription Fees
Subscriptions are billed in advance on a monthly or annual basis, depending on your selection at checkout.
Cancellation
You may cancel your subscription at any time via your customer billing portal or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused time in the current billing cycle.
Refunds
Refund requests are reviewed on a case-by-case basis. Due to the nature of the Service and the immediate provision of financial data processing, partial-period refunds are generally not provided.

06 Intellectual Property

The Service, including all original content, features, functionality, source code, databases, and design, is and will remain the exclusive property of Faiz Ahmed. These Terms do not grant you any rights to use trademarks, branding, or intellectual property except as necessary to use the Service as intended.

07 Indemnification

You agree to defend, indemnify, and hold harmless Faiz Ahmed from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including client data protection or privacy rights.

08 Limitation of Liability

Strict Limitation: To the maximum extent permitted by applicable law, in no event shall Faiz Ahmed or LedgerSort be liable for any indirect, punitive, incidental, special, or consequential damages.

This includes, without limitation, damages for loss of profits, tax penalties, audit fees, bank fees, or data loss arising out of or relating to the use of, or inability to use, the Service.

In no event shall our total liability for all claims exceed the amount you actually paid for the Service during the six (6) months preceding the claim, or fifty dollars ($50.00), whichever is greater. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

09 Termination

We reserve the right to suspend or terminate your access to the Service if you violate these Terms or if continued operation would pose security, legal, or compliance risks. Upon termination, your right to use the Service will immediately cease.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

11 Changes to Terms

We may modify these Terms from time to time. Updated Terms will be posted within the Service or on our website. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
